The move allows the company to buy back up to 10.36 million of its subordinate voting shares over the next 12 months.

The new program follows two prior repurchase initiatives that began in September 2023, under which the Chicago-based company repurchased around 13.5 million shares for $108 million. Green Thumb says the latest authorization will begin on September 23, 2025, and remain active until September 22, 2026.

Founder, Chairman and CEO Ben Kovler said the plan is designed to give the company flexibility while continuing to prioritize growth.

“We believe buying back our stock at the right price is one of the best ways to create value for shareholders,” Kovler said. “This authorization gives us the flexibility to act strategically as the right opportunities come along. We remain focused on investing in our brands and strengthening our long-term position in the continuously expanding cannabis market.”

The company noted that the program is not an obligation, and purchases can be paused or canceled at any time. Buybacks may take place on the Canadian Securities Exchange, the OTCQX Best Market, or through alternative trading systems, subject to U.S. and Canadian regulations. Green Thumb does not plan to take on debt to fund the initiative, with purchases depending on market conditions and regulatory requirements. All shares bought back will be canceled.

Green Thumb, established in 2014, operates 108 RISE dispensaries and 20 manufacturing facilities across 14 states, employing nearly 4,800 people. Its brand portfolio includes RYTHM, Dogwalkers, incredibles, Beboe, &Shine, Doctor Solomon’s, and Good Green. The company serves millions of customers annually with a focus on expanding access to cannabis products while reinvesting in the communities it operates in.
