JARS Cannabis has reached an agreement to acquire Arizona-based Sonoran Roots, a deal that would give the combined company 27 dispensaries across the state.
Under the definitive agreement announced Tuesday, Sonoran Roots’ eight Ponderosa Dispensary locations will become part of JARS, which currently operates 19 locations in Arizona. The companies say the acquisition will create the state’s largest marijuana retail network.
The Ponderosa stores, located in Chandler, Flagstaff, Glendale, Mesa, Phoenix, Queen Creek, Tempe and Tucson, will continue operating under their current name until the transaction closes. They will then gradually transition to the JARS Cannabis brand.
Sonoran Roots’ existing marijuana brands will remain in operation following the acquisition, including Canamo Concentrates. JARS also plans to invest in Sonoran Roots’ cultivation, production, wholesale and distribution operations.
“This is not scale for scale’s sake,” said JARS Cannabis CEO Ronnie Kassab. “JARS and Sonoran Roots have each built their businesses by focusing on great people, great products and the customer experience.”
Sonoran Roots is vertically integrated, operating cultivation facilities, extraction operations, wholesale distribution and its eight Ponderosa dispensaries. JARS operates dispensaries in Arizona, Colorado and Michigan, with 62 active locations nationwide prior to the acquisition.
Sonoran Roots CEO Michael O’Brien will join JARS as chief strategy officer, where he will work with company leadership on future growth initiatives.
“We are preserving our brands and relationships, expanding on what we do best, and pairing it with a retail organization that has the scale and ambition to take us to the next level,” O’Brien said.
JARS said the expanded Arizona operation will also continue investing in digital ordering and delivery capabilities while increasing the reach of Sonoran Roots products through its retail and wholesale networks.
The acquisition is expected to close by the end of the third quarter of 2026, pending regulatory approvals and other customary closing conditions. Financial terms of the transaction were not announced.
